These Terms of Use ("Terms") govern your access to and use of SeasonKeep, a home maintenance scheduling platform. SeasonKeep is a product of Edison Forge, LLC, an Oregon limited liability company ("Edison Forge," "we," "us," or "our"). By creating an account or using SeasonKeep, you agree to be bound by these Terms. If you do not agree, please do not use the service.
SeasonKeep provides personalized home maintenance scheduling, reminders, and contractor search tools. Maintenance recommendations are generated based on your home profile (location, age, systems, and features) and are for informational purposes only. SeasonKeep is not a licensed contractor, inspector, or home warranty provider and does not perform maintenance or repair work.
Geographic scope. SeasonKeep is offered solely for use by residents of the United States. We do not market, target, or offer the service to individuals outside the United States, and we make no representation that the service complies with the laws or regulations of any jurisdiction outside the United States. If you access SeasonKeep from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.
We strive to keep SeasonKeep available at all times but do not guarantee uninterrupted access. We may temporarily suspend the service for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime in advance.
You must be at least 18 years of age and have the legal capacity to enter into these Terms. You must provide accurate information when creating your account and keep it up to date. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You may not share your account with others or create multiple accounts for the same individual.
SeasonKeep offers free and paid subscription plans. Paid plans — Home Plan, Home Pro, and Landlord — are billed monthly or annually through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
Automatic renewal. Paid subscriptions renew automatically at the end of each billing period (monthly or annual) until you cancel. Your payment method on file will be charged for the new period on or shortly before the renewal date. You can view your renewal date and current plan at any time in /settings/billing.
Cancellation. You may cancel your subscription at any time through your account settings at /settings/billing. Cancellation takes effect at the end of the current billing period — you retain access to paid features until then. Refunds are handled on a case-by-case basis; contact us at hello@edisonforge.com if you believe a refund is warranted.
All content, design, code, and branding of SeasonKeep are owned by Edison Forge, LLC and protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the service without our prior written consent.
Content you create within SeasonKeep (home profiles, task notes, photos) remains yours. By uploading content, you grant us a limited license to store and display it within the service as needed to provide functionality.

SeasonKeep is provided "as is" and "as available" without warranties of any kind, express or implied. In particular:

To the maximum extent permitted by law, Edison Forge, LLC disclaims all implied warranties, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
To the maximum extent permitted by law, Edison Forge, LLC and its members, managers, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of or inability to use SeasonKeep. Our total liability for any claim related to the service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars (US $100). These limitations do not apply to the extent a claim arises from our gross negligence, willful misconduct, or fraud, or to any liability that cannot be limited or excluded under applicable law.
You agree to indemnify and hold harmless Edison Forge, LLC and its members, managers, officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of applicable law, or your infringement of any third-party rights, except to the extent caused by Edison Forge's gross negligence, willful misconduct, or fraud.
You acknowledge that software may contain bugs or errors and that you use SeasonKeep at your own risk. Maintenance recommendations, cost estimates, and contractor information provided by SeasonKeep are informational only and do not replace professional inspection or advice. You are solely responsible for evaluating the suitability of any recommendation for your home and circumstances. Edison Forge, LLC is not responsible for any decisions or actions you take based on information provided by SeasonKeep. You are solely responsible for maintaining backups of your data and for the safety of any maintenance work you perform or engage others to perform.
Nothing in SeasonKeep constitutes professional engineering, electrical, plumbing, HVAC, structural, or safety advice. For any condition that may pose a risk to life, health, or property — including gas leaks, electrical hazards, structural issues, carbon-monoxide exposure, or water damage — stop using the app and contact a licensed professional or emergency services immediately.
SeasonKeep integrates with third-party service providers listed in our Privacy Policy, including (but not limited to) providers of authentication, payments, database hosting, cloud storage, email delivery, contractor search, AI-powered advice, background-job orchestration, caching, analytics, error tracking, application hosting, and logging. Each has its own terms and privacy practices, and your use of those underlying services is governed by their respective terms. We are not responsible for the practices or content of third-party services.
These Terms are governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or SeasonKeep shall be brought exclusively in the state courts located in Washington County, Oregon, or in the United States District Court for the District of Oregon, and you consent to personal jurisdiction in those courts. Before filing suit, you agree to contact us at hello@edisonforge.com and make a good-faith effort to resolve the dispute informally for at least thirty (30) days. Edison Forge, LLC will make the same good-faith effort before initiating any claim against you. The informal-resolution requirement does not apply to either party's claim for injunctive or equitable relief (including to protect intellectual-property rights, enforce confidentiality obligations, or prevent misuse or abuse of the service); such claims may be brought at any time. Claims for injunctive or equitable relief must still be brought in the state or federal courts specified above.
If you access SeasonKeep through the Google Play Store (as an Android app or Trusted Web Activity), your use is also subject to the Google Play Terms of Service. SeasonKeep is not affiliated with, sponsored by, or endorsed by Google. If we distribute SeasonKeep through the Apple App Store in the future, Apple's standard end-user license provisions will apply. In the event of a conflict between those platform terms and these Terms, the platform terms control with respect to app installation and payments made through the platform.
From time to time, we may offer features labeled "beta," "preview," or "experimental." These features are provided "as is" and may change or be withdrawn without notice. We do not offer service-level agreements or uptime credits; however, if SeasonKeep's core functionality (sign-in, dashboard, or task-completion) is unavailable for more than seventy-two (72) consecutive hours during a paid billing period, contact us and we will evaluate a pro-rated credit on a case-by-case basis.
We may update these Terms from time to time. We will notify you of material changes at least thirty (30) days before they take effect via email or a prominent notice in the app. If you do not agree to the changes, your sole remedy is to stop using SeasonKeep and cancel your subscription before the effective date; cancellation under this section entitles you to a pro-rated refund of any pre-paid fees for the unused portion of your then-current billing period. Continued use of SeasonKeep after the effective date constitutes acceptance of the updated Terms.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
SeasonKeep respects the intellectual property rights of others and expects users to do the same. If you believe content on SeasonKeep infringes your copyright, please send a written notice to our designated agent that includes:
Send notices to hello@edisonforge.com with subject line "DMCA Notice" or to the mailing address below, Attn: DMCA Agent. We will remove or disable access to material that is the subject of a valid notice and, where appropriate, terminate the accounts of repeat infringers. Users whose content has been removed may submit a counter-notice containing the information required by 17 U.S.C. § 512(g).
Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government action, internet or power outages, or failures of third-party service providers.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition, or sale of all or substantially all of our assets.
Survival. The following sections survive any termination of these Terms: §5 (Intellectual Property), §7 (Disclaimer of Warranties), §8 (Limitation of Liability), §9 (Indemnification), §10 (Assumption of Risk), §12 (Governing Law), §13 (Venue & Dispute Resolution), §17 (Severability), §18 (DMCA), and this §19.
Notices. We may provide legal notices to you by email to the address associated with your account or by a prominent notice in the app. You may send legal notices to us at the mailing address below, Attn: Legal. Email notices are effective on the earlier of delivery or one (1) business day after being sent; mailed notices are effective upon delivery. You consent to receive notices and required disclosures electronically.
Waiver. Our failure to enforce any provision of these Terms does not waive our right to enforce that or any other provision later.
Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Edison Forge, LLC regarding your use of SeasonKeep and supersede any prior or contemporaneous agreements on the same subject.
Headings; construction. Section headings are for convenience only and do not affect interpretation. The words "including" and "such as" are illustrative, not limiting.
